Terms of Service

These Terms of Service ("Terms") govern your use of the C.QR platform and related services ("Service") provided by C.QR Technologies Inc. ("C.QR," "we," "us," or "our"), accessible at cqrtech.app and associated subdomains. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

C.QR is a safety advocacy and communication platform that enables individuals, families, and organizations to create real-time, scannable safety plans accessible via QR code. The Service includes plan creation, a Vault of reusable safety content, QR-Key management, helper-view delivery, and organizational management tools. C.QR is a communication tool — it is not a medical device, clinical decision support system, or emergency services provider.

2. Eligibility

You must be at least 18 years of age to create an account. If you are creating plans on behalf of a minor or a vulnerable individual, you represent that you have legal authority to do so. Organizations must designate an authorized administrator who accepts these Terms on the organization's behalf.

3. Account Registration

You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at questions@cqrtech.net if you suspect unauthorized account access.

4. Subscription Tiers & Payments

C.QR offers individual plans: Advocate (Free), Navigator ($9/month or $72/year), and Protector ($19/month or $150/year). One-time access passes (Day Pass, Week Pass, Bank 30 Days) are also available. Current pricing is always displayed at cqrtech.app/Pricing. All payments are processed by Paddle.com Market Limited ("Paddle"), acting as the Merchant of Record for all transactions. C.QR does not store your payment card details. Subscriptions renew automatically unless cancelled before the renewal date. Annual subscriptions are charged upfront for the full year.

5. Cancellation & Refunds

You may cancel your subscription at any time from Settings → Access & Billing, or by contacting questions@cqrtech.net. Cancellation takes effect at the end of the current billing period — access continues until then. Refunds are governed by our Refund Policy at cqrtech.app/RefundPolicy. New subscriptions are eligible for a full refund within 14 days of initial purchase. One-time passes are non-refundable once activated. All refunds are processed through Paddle and may take 5–10 business days.

6. Acceptable Use

You agree not to: (a) upload false or misleading safety information that could endanger others; (b) impersonate another person or entity; (c) violate any applicable law or regulation; (d) attempt unauthorized access to accounts or systems; (e) use the Service for commercial surveillance, tracking, or coercive control of another person; (f) reverse-engineer, decompile, scrape, or extract proprietary components of the Service. C.QR reserves the right to suspend or terminate accounts that violate these Terms, with or without prior notice, and without refund where violations are confirmed.

7. Safety Information Disclaimer

C.QR is an information-sharing and advocacy tool — not a licensed medical, clinical, or emergency services provider. Plan content is user-generated and has not been reviewed or verified by C.QR. In any emergency, always contact local emergency services (e.g., 911) first. C.QR is not liable for any outcome resulting from reliance on plan content. 8. Data Ownership & Privacy

You retain full ownership of all data you input into the Service. By using C.QR, you grant us a limited, non-exclusive, revocable license to store and process your content solely to deliver the Service. We do not sell your personal data. Sensitive fields are encrypted at the application layer (AES-256-GCM) before storage. For full details, see our Privacy Policy at cqrtech.app/PrivacyPolicy.

9. Personal Safety Mode (No-Trace Mode)

C.QR offers a Personal Safety Mode for users in contexts involving coercive control or personal safety risk. When active, this mode suppresses geolocation logging, scan audit trails, scan logging, and organizational visibility. C.QR will not override, disable, or disclose the status of Personal Safety Mode at the request of any third party — including organizational administrators, platform partners, or law enforcement — absent a valid legal order served directly on C.QR.

10. Intellectual Property

All platform code, design, branding, and proprietary features are the intellectual property of C.QR Technologies Inc. A provisional patent application covering key platform innovations has been filed. You may not copy, modify, reverse-engineer, or redistribute any part of the Service without prior written consent. Plan content you create remains your intellectual property.

11. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms, if the Service is discontinued, or if required by applicable law. Upon account closure, your data is retained for 30 days to allow export, then permanently deleted in accordance with our Privacy Policy. Termination does not affect payment obligations incurred prior to the termination date.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. C.QR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. DURING THE BETA PHASE, NO SERVICE LEVEL AGREEMENT (SLA) APPLIES — SEE SECTION 15.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, C.QR TECHNOLOGIES INC. AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR PERSONAL INJURY — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID C.QR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED US DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold harmless C.QR Technologies Inc., its affiliates, officers, directors, employees, and agents from any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your plan content; or (d) your infringement of any third-party rights.

15. Beta Release Status

Applies until general availability is announced.

15.1 No SLA During Beta
C.QR is in controlled beta. No service level agreement applies. We make no uptime guarantee. Features, pricing, and data retention policies may change with reasonable notice. You should maintain secondary documentation for any critical safety information and not rely solely on C.QR during beta.

15.2 Infrastructure Dependency
C.QR operates on the Base44 managed platform for database, backend, and hosting services. C.QR cannot control Base44 platform incidents. Service interruptions may occur due to scheduled maintenance or unplanned infrastructure events. Monitor platform status at status.base44.io and C.QR operational status at cqrtech.app/SystemStatus.

15.3 Data Protection
All data is encrypted at rest (AES-256) and in transit (TLS 1.2+). Daily backups are maintained by our platform provider. In the event of data loss from a platform incident, restoration will be attempted from the most recent backup — typically within 24 hours of incident resolution. We cannot guarantee recovery of data created or modified during an active outage window.

15.4 Beta Liability
To the fullest extent permitted by law, your sole remedy for service unavailability exceeding 4 continuous hours during beta is a pro-rated suspension of billing for that period. C.QR is not liable for consequential or indirect damages arising from beta-phase service interruptions.

15.5 Transition to General Availability
When C.QR exits beta, this section will be replaced with formal SLA terms including uptime commitments and enterprise support options. You will receive at least 30 days' notice of any material changes to service guarantees or pricing.

16. Changes to These Terms

We may update these Terms periodically. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. The current Terms are always available at cqrtech.app/TermsOfService.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law provisions. Before initiating legal proceedings, you agree to contact legal@cqrtech.net and attempt good-faith resolution. Disputes that cannot be resolved informally shall be subject to binding arbitration under American Arbitration Association rules, or litigated exclusively in the state or federal courts of Maricopa County, Arizona. You waive the right to participate in class-action proceedings against C.QR.
